Terms of Service

1. Eligibility

Basta is intended solely for individuals who are at least 18 years of age.

By creating an account or using the Services, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into this agreement;
• all information you provide is accurate and complete; and
• you will keep your account information reasonably up to date.

We reserve the right to suspend or terminate any account if we reasonably believe the user is under the age of 18 or has provided false information regarding their eligibility.

2. Acceptance of These Terms

By creating an account, purchasing a subscription, or otherwise using Basta, you acknowledge that:

• you have read these Terms;
• you understand these Terms; and
• you agree to be legally bound by them.

If you are using Basta on behalf of another individual or organization, you represent that you have the authority to bind that person or organization to these Terms.

3. Description of the Services

Basta is an AI-assisted nutrition application designed to help users make informed decisions about meal portions and eating habits.

The Services may include features such as:

• AI-assisted meal analysis;
• calorie and macronutrient estimates;
• meal logging;
• progress tracking;
• personalized nutrition goals;
• reminders and notifications;
• subscription-based premium features.

The Services may change over time.

We may add, modify, improve, suspend, or discontinue features without prior notice.

Nothing in these Terms guarantees that any particular feature will remain available indefinitely.

4. User Accounts

To access certain features of Basta, you must create an account.

You agree to:

• provide accurate registration information;
• maintain the confidentiality of your login credentials;
• promptly update inaccurate account information;
• notify us if you believe your account has been compromised.

You are responsible for all activity that occurs under your account unless the activity results from our failure to maintain reasonable security measures.

We may refuse registration or suspend accounts that violate these Terms or that we reasonably believe present security, legal, or operational risks.

5. User Responsibilities

Basta is intended to assist your own judgment, not replace it.

You agree to use the Services responsibly and acknowledge that you remain solely responsible for your decisions regarding food consumption, nutrition, exercise, and health.

You agree to:

• use the Services only for personal, non-commercial purposes;
• provide truthful information when using the application;
• review AI-generated results before relying on them;
• exercise your own judgment regarding nutritional decisions;
• comply with all applicable laws while using the Services.

You understand that nutritional estimates are approximations and may not accurately reflect the actual nutritional content of a meal.

6. Acceptable Use

You agree that you will not:

• use Basta for any unlawful purpose;
• interfere with or disrupt the Services or their infrastructure;
• attempt to gain unauthorized access to any account or system;
• upload malicious software, viruses, or harmful code;
• attempt to reverse engineer, decompile, or disassemble any portion of the Services except where expressly permitted by law;
• use automated tools, bots, or scripts to access the Services without our written permission;
• copy, reproduce, redistribute, or commercially exploit the Services or their content;
• impersonate another individual or create an account using false information;
• use the Services in a manner that could damage, disable, or impair their operation.

We reserve the right to investigate suspected violations of these Terms and take appropriate action, including suspension or termination of accounts.

7. Artificial Intelligence Disclaimer

Basta uses artificial intelligence to analyze meal photos and descriptions in order to estimate calories, macronutrients, and portion information.

Artificial intelligence is an evolving technology and is not infallible.

The nutritional estimates generated by Basta:

• may be incomplete;
• may contain inaccuracies;
• may not identify every ingredient;
• may not correctly estimate portion sizes;
• should not be considered definitive nutritional information.

You acknowledge that all AI-generated outputs are provided for informational purposes only.

You remain solely responsible for determining whether to rely on any estimate or recommendation generated through the Services.

8. No Medical Advice

Basta is not a medical device.

The Services do not provide:

• medical advice;
• nutritional counseling;
• diagnosis;
• treatment;
• disease prevention;
• medical monitoring.

Nothing contained within Basta should be interpreted as advice from a physician, registered dietitian, or other licensed healthcare professional.

Always consult an appropriately qualified healthcare provider regarding medical conditions, dietary restrictions, allergies, medications, pregnancy, or any other health-related concerns.

Do not disregard professional medical advice or delay seeking medical care because of information obtained through Basta.

9. User Content

You retain ownership of the information you submit to Basta, including your profile information, meal history, and other content you choose to provide.

By submitting information through the Services, you grant Synchay LLC a limited, non-exclusive, worldwide, royalty-free license to use, process, transmit, store, and display that information solely for the purpose of operating, maintaining, securing, and improving the Services.

This license ends when your content is deleted from our systems, except where retention is required by law or as otherwise described in our Privacy Policy.

Meal photos submitted for AI analysis are processed to generate nutritional estimates and are not retained as part of your account, as described in our Privacy Policy.

10. Intellectual Property

The Services, including all software, source code, user interface designs, graphics, trademarks, logos, text, documentation, and other content made available by Synchay LLC, are protected by intellectual property laws.

Except as expressly permitted by these Terms, you may not:

• copy;
• modify;
• distribute;
• sell;
• sublicense;
• lease;
• publicly display;
• create derivative works from; or
• otherwise exploit any portion of the Services.

The names Basta, Synchay, associated logos, and related branding are the property of Synchay LLC or its licensors and may not be used without prior written permission.

11. Subscriptions and Billing

Certain features of Basta may require a paid subscription.

Subscription pricing, billing intervals, and available plans are displayed within the application before you complete your purchase.

Subscriptions purchased through the Apple App Store or Google Play are billed by the applicable platform and are subject to that platform's payment terms and conditions.

Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each billing period until cancelled.

You may manage or cancel your subscription at any time through your Apple App Store or Google Play account settings.

Cancellation prevents future renewal but does not automatically entitle you to a refund for the current billing period.

Refund requests are handled exclusively by the platform through which the purchase was made and are subject to that platform's refund policies.

If you reinstall Basta or switch devices using the same marketplace account, you may restore eligible purchases through the application's restore purchases feature.

We reserve the right to modify subscription pricing or available subscription plans in the future. Any pricing changes will apply only after notice and in accordance with the policies of the applicable app marketplace.

12. Availability of the Services

We continuously improve Basta and may modify the Services over time.

Accordingly, we reserve the right to:

• add new features;
• remove existing features;
• modify functionality;
• change supported devices or operating systems;
• perform scheduled maintenance;
• temporarily suspend portions of the Services; or
• discontinue the Services in whole or in part.

We will make reasonable efforts to minimize disruptions, but we do not guarantee uninterrupted availability.

Occasionally, access to the Services may be unavailable due to maintenance, software updates, infrastructure failures, internet outages, third-party service interruptions, or circumstances beyond our reasonable control.

13. Account Suspension and Termination

You may stop using Basta and delete your account at any time.

We may suspend or terminate your account if we reasonably determine that you have:

• violated these Terms;
• provided false or misleading information;
• engaged in fraudulent activity;
• attempted unauthorized access to the Services;
• interfered with the operation or security of Basta;
• used the Services in a manner that may harm Synchay LLC or other users.

Where reasonably practicable, we may provide notice before terminating an account. However, we reserve the right to suspend or terminate accounts immediately when necessary to protect the security, integrity, or lawful operation of the Services.

Termination of your account does not relieve you of any obligations that arose before termination.

Account deletion is governed by our Privacy Policy.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCHAY LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• RELIABILITY;
• AVAILABILITY; AND
• UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL ALWAYS BE AVAILABLE;
• THE SERVICES WILL BE ERROR-FREE;
• AI-GENERATED RESULTS WILL BE ACCURATE;
• DEFECTS WILL ALWAYS BE CORRECTED; OR
• THE SERVICES WILL MEET YOUR PARTICULAR EXPECTATIONS OR REQUIREMENTS.

YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, portions of this section may not apply.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCHAY LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

THIS INCLUDES, WITHOUT LIMITATION:

• PERSONAL INJURY;
• HEALTH OUTCOMES;
• LOST PROFITS;
• LOST DATA;
• BUSINESS INTERRUPTION;
• LOSS OF GOODWILL;
• DEVICE DAMAGE; OR
• ANY RELIANCE ON AI-GENERATED ESTIMATES OR RECOMMENDATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(a) THE AMOUNT YOU PAID TO SYNCHAY LLC FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(b) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not permit certain limitations of liability. Where prohibited by law, portions of this section may not apply.

16. Indemnification

You agree to defend, indemnify, and hold harmless Synchay LLC and its members, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your use of the Services;
• your violation of these Terms;
• your violation of applicable law;
• your infringement of the rights of another person or entity; or
• content or information you submit through the Services.

This obligation survives termination of these Terms.

17. Force Majeure

Synchay LLC shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including:

• natural disasters;
• acts of government;
• war;
• terrorism;
• labor disputes;
• internet outages;
• power failures;
• cyberattacks;
• failures of third-party service providers;
• failures of cloud infrastructure providers;
• failures of artificial intelligence providers; or
• other events beyond our reasonable control.

18. Export Compliance

You agree not to use or export the Services in violation of applicable United States export control laws or economic sanctions.

You represent that you are not located in a country subject to comprehensive U.S. sanctions and are not prohibited from using the Services under applicable law.

19. Changes to the Services

Basta is an evolving product, and we are continually improving and refining the Services.

We reserve the right to modify, update, suspend, or discontinue any portion of the Services at any time, with or without notice, including the addition or removal of features, functionality, or supported platforms.

We may also release updates, bug fixes, security patches, or new versions of the application. Some updates may be required for continued use of the Services.

Nothing in these Terms guarantees that any particular feature or functionality will remain available indefinitely.

20. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Services, technology, legal obligations, or business practices.

When we make material changes, we will update the Last Updated date at the beginning of these Terms.

Where required by applicable law, we may also provide additional notice through the Basta application, our website, email, or another appropriate communication method.

Your continued use of the Services after updated Terms become effective constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must discontinue use of the Services and delete your account.

21. Electronic Communications

By creating an account or using Basta, you consent to receive electronic communications from Synchay LLC relating to your account and the Services.

These communications may include:

• account verification;
• password reset emails;
• important security notifications;
• subscription-related communications;
• updates regarding the Services;
• notices required by law; and
• changes to these Terms or our Privacy Policy.

You agree that electronic communications satisfy any legal requirement that such communications be provided in writing.

22. Governing Law

These Terms and any dispute arising from or relating to the Services shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

Subject to applicable law, you agree that any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located within the State of Utah.

You consent to the personal jurisdiction of those courts.

23. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Synchay LLC may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, corporate reorganization, financing, or other business transaction.

These Terms shall be binding upon and benefit the parties and their permitted successors and assigns.

24. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law.

The remaining provisions shall remain in full force and effect.

25. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

Any waiver must be in writing and signed by an authorized representative of Synchay LLC.

26. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented in connection with specific features of the Services, constitute the entire agreement between you and Synchay LLC regarding your use of Basta.

These Terms supersede all prior or contemporaneous agreements, communications, representations, or understandings relating to the Services.
